Paper Tray – Terms & Conditions

1. Eligibility

• You must be at least 18 years old and have the legal capacity to enter into contracts.
• If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Account Registration & Security

• You must provide accurate and complete information when creating an account.
• You are responsible for safeguarding your login credentials.
• Notify us immediately of unauthorized use of your account. We are not liable for losses due to compromised credentials.

3. Use of Service

You may use the Service only for lawful business purposes.

• You retain ownership of your Google Docs, Sheets, and other files; Paper Tray does not claim ownership of your content.
• You grant us a limited license to access, process, and analyze your content solely for providing the Service.

You may not:

• Reverse-engineer or attempt to extract source code.
• Use the Service to build a competing product.
• Interfere with or disrupt the Service's security or operations.

4. Subscriptions & Billing

• Access to the Service requires a paid subscription after any free trial.
• Subscription fees are billed in advance on a monthly or annual basis.
• Fees are non-refundable except where required by law.
• You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle unless stated otherwise.
• If you fail to pay fees, we may suspend or terminate your access.

5. Free Trials

• Free trials may be offered at our discretion.
• At the end of the trial, continued use requires a paid subscription.

6. Intellectual Property

• The Service, including software, designs, and trademarks, is owned by Paper Tray and protected by copyright, trademark, and other laws.
• You may not copy, modify, distribute, or create derivative works without our written consent.

7. Data Privacy & Security

• We take data security seriously and follow industry best practices.
• Your data remains yours. We store only metadata, document IDs, and processed outputs necessary to provide the Service; we do not claim ownership of the underlying documents.

8. Third-Party Services

• The Service integrates with Google Workspace (Drive, Docs, Sheets, etc.). Your use of those services is governed by Google's terms.
• We are not responsible for third-party services or outages.

9. Termination

• You may stop using the Service at any time.
• We may suspend or terminate your account if you breach these Terms.
• Upon termination, your access to the Service ends immediately, but sections relating to payment, intellectual property, disclaimers, and liability survive termination.

10. Disclaimer of Warranties

• The Service is provided "as is" and "as available."
• We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
• We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

• To the maximum extent permitted by law, Paper Tray shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability under these Terms shall not exceed the subscription fees you paid in the 12 months prior to the claim.

12. Indemnification

You agree to indemnify and hold harmless Paper Tray from any claims, damages, or expenses arising from your use of the Service or breach of these Terms.

13. Changes to Terms

• We may update these Terms from time to time.
• We will notify you of material changes by posting the updated Terms or via email. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

• These Terms are governed by the laws of England & Wales.
• Any disputes will be resolved exclusively in the courts of England & Wales.
